CONTRACT AND RELEASE AGREEMENT THIS AGREEMENT is entered into by and between you and Jorn H. Winther Production, Inc., a California corporation, with reference to the submission of your script, screenplay, treatment, novel or manuscript, as the case may be, hereinafter referred to as the “Work” for analysis pursuant to the terms hereinafter set forth. You represent and warrant that you are the author of the Work, and that if you are not the author, that you hold legal and equitable rights to the Work. You agree that upon presentation of the Work to Jorn H. Winther Production, Inc. that it can and will be made available to Jorn H. Winther Production, Inc. employees and contractors for reading and that it may be made available and shown to registered contacts, including but not limited to, agents, managers, producers and other industry professionals for the purpose of complying with the obligations pursuant to this agreement. It is further understood and agreed that the contacts referred to herein shall be deemed third party beneficiaries of this agreement. It is agreed between the parties hereto and acknowledge hereby that you have retained at least one written copy of the Work, and that Jorn H. Winther Production, Inc. shall not be liable or responsible for any lost or destroyed material which is submitted to it by you. You understand and agree that the Work is your property and as such you are responsible for the protection of the Work. You acknowledge hereby that you have been advised by Jorn H. Winther Production, Inc. to register the Work with the Writer’s Guild, the United States Patent and Copyright Office and or other script protection organizations such as WriteSafe. You further understand and agree that any and all costs attributed to the protection of the Work shall be borne by you and is your sole responsibility. Jorn H. Winther Production, Inc. shall not be liable for nor shall it pay or reimburse you for any such costs and or expenses. You affirm that you are at least eighteen (18) years old and that you are submitting the Work voluntarily pursuant to this Agreement. You understand and agree that nothing in this agreement shall be deemed to create a confidential or fiduciary relationship between you and Jorn H. Winther Production, Inc. and that this agreement does not create a partnership or agency relationship of any kind or nature. You affirm and agree that the Work being submitted pursuant to this agreement contains no defamatory or unlawful material and that you know of no claims, or threats of any copyright infringement or other violation of any proprietary interest(s) whatsoever by any third person or entity. You further agree to indemnify and hold harmless Jorn H. Winther Production, Inc., its members, shareholders, directors, officers, managers, attorneys, agents, assigns or representatives, from any claim, demand, obligation, liability, damage, judgment, award or other responsibility arising out of your representations and warranties contained herein regarding the Work, and you agree to pay any judgment, award, or demand including any attorney’s fees incurred thereby if entered against Jorn H. Winther Production, Inc. or its any of its contacts or related persons or entities. You understand and agree that Jorn H. Winther Production, Inc.’s liability is limited to the amount of money you paid to Jorn H. Winther Production, Inc. for the Work to be read and analyzed, and that no obligation of any kind shall be assumed or may be implied against Jorn H. Winther Production, Inc. or its contacts either as a result of this agreement, or your submission of the Work. You hereby agree that Jorn H. Winther Production, Inc. shall not be responsible or liable for any direct or indirect, special or punitive damages, incidental or consequential damages or for any lost profits or revenues claimed by you to exist, with or without notice of such damages to Jorn H. Winther Production, Inc. You understand and acknowledge hereby that Jorn H. Winther Production, Inc. may have access to and or may create or have created literary materials and ideas which may be similar to or expressions of ideas similar to the Work in theme, idea, plot, format or other respects. You agree that you shall not be compensated for nor be entitled to any consideration due to the use of any such similar materials, which may have been independently created by an employee or another subscriber, or may have come to Jorn H. Winther Production, Inc. from an independent source. Jorn H. Winther Production, Inc. shall not be obligated to purchase, develop or produce the Work pursuant to this agreement. However, in the event that Jorn H. Winther Production, Inc. shall determine in its sole discretion to acquire, develop or produce the Work, you will be offered a written purchase contract by Jorn H. Winther Production, Inc. and be entitled hereunder to compensation specified as “scale” according to the Writers Guild of America (WGA). Jorn H. Winther Production, Inc. in its sole discretion may choose to facilitate introduction of the Work to third parties who may be interested in developing the Work and or in financing it toward production. In such event, Jorn H. Winther Production, Inc. does not attest or guarantee the validity of any such introduction, or any subsequent agreements between you and any such person or entity. Except as otherwise provided in this agreement, you agree and hereby do release Jorn H. Winther Production, Inc., its officers, directors, shareholders, agents and representatives from any and all claims, demands, liabilities, obligations or responsibilities, of whatever kind or nature, arising out of or in connection with this agreement, the reading and or analysis of the Work, or any reports or writings prepared by Jorn H. Winther Production, Inc. or its contacts in submission of the Work, or any appropriation of the Work by either Jorn H. Winther Production, Inc. or its contacts. You specifically represent and agree that prior to the execution of this agreement that you were aware of the provisions of Civil Code, Section 1542, which in pertinent part provides as follows: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." Having been so apprised, you hereby waive any and all rights under Civil Code, Section 1542 with respect to the subject matter of this agreement. In addition, you agree that all of the terms and conditions and disclaimers on Jorn H. Winther Production, Inc.’s Web Page are hereby incorporated into this release paragraph as if recited here in full. This agreement contained the entire understanding and agreement between you and Jorn H. Winther Production, Inc. and there are no oral or written representations or understandings that superceded the terms and conditions of this written agreement, and if any there were, they are of no force or effect. This agreement may be modified or amended only by a writing signed by all of the parties hereto. Any waiver of a default or breach of this agreement or any warranty, representation, covenants or obligation contained herein shall not be deemed a waiver of any subsequent breach. If any provision of this agreement shall be adjudged to be invalid or unenforceable, the remaining provisions shall nonetheless be valid, binding and enforceable. This agreement shall be binding on and inure to the benefit of the parties, their successors, assigns and legal representatives. All notices permitted by this agreement shall be served personally or by certified mail, return receipt requested on the party intended to receive notice. Such service shall be made to the addressee at the address listed next to their name at the end of this agreement. Notice shall become effective on personal delivery or if mailed on the third day after posting in the United States Mail. In the event of any dispute or claim arising out of the terms and conditions, performance or interpretation of this agreement, the parties agree that they shall be resolved by binding arbitration in the County of Los Angeles, State of California, under guidelines of the American Arbitration Association or other ADR organization mutually agreed upon between the parties. The arbitrator(s) shall have the power to grant all legal and equitable relief and award compensatory damages including recovery of reasonable attorney’s fees to the prevailing party. The parties agree that a court of competent jurisdiction shall have jurisdiction and authority to vacate, correct or void any award pursuant to California Code of Civil Procedure Sections 1286 or 1286.6. In the event that any action is brought to enforce any provision contained herein, the prevailing party shall recover its reasonable attorney’s fees and costs in addition to any and all other remedies available in law or equity. This agreement shall be governed, construed and interpreted under the laws of the State of California and venue for the commencement of any action pursuant to this agreement shall be in the County of Los Angeles.
